Experienced proactive business lawyer passionate about helping growing life sciences and other technology firms avoid expensive legal mistakes as they make ideas happen.

Helping business executives select and form the appropriate legal entity to meet their business needs and assist in organizing the venture's legal relationships for optimal benefit.

Assisting in drafting and negotiating contracts required to seize opportunities while controlling risks.

Assisting in strategic business planning: identification and review of assumptions, mitigation of business and legal risk, identifying opportunities and regulatory hurdles and acting as the external "general counsel" to oversee cost-effective use of legal resources.

Helping executives identify risks and plan mitigation strategies.

Assisting in the creation and implementation of strategies and tactics to identify and protect intellectual property.

Identifying members of my network of skilled consultants and specialty counsel to deal cost-effectively with ongoing issues as needed.

As part of my practice at Johnson & Johnson, I helped to close over Two Billion Dollars' in value of mergers, acquisitions, divestitures, collaboration agreements, licensing transactions, venture capital investments and other significant agreements.  I was able to work with, and learn from, C-Suite executives who drove many successful businesses.  During my practice with Cravath Swaine & Moore and White & Case, I participated in multi-million dollar securities offerings, bank financings, acquisitions and corporate governance matters.
